Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and MB Su idėja ("VoiceCap", "we", "us", or "our") governing your access to and use of the VoiceCap AI meeting transcription and summarization service.
By accessing or using VoiceCap, you agree to be bound by these Terms. If you are using VoiceCap on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
VoiceCap is an AI-powered meeting transcription and summarization service designed for European businesses. The service includes:
- Audio file upload and secure storage
- Automated transcription with speaker identification
- AI-generated meeting summaries and action items
- Searchable meeting archive
- Team collaboration and sharing features
VoiceCap does not initiate recordings itself and processes only content uploaded or submitted by users.
3. Account Registration
To use VoiceCap, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Acceptable Use
You agree to use VoiceCap only for lawful purposes and in accordance with these Terms. You must NOT:
- Upload content that you do not have the right to record or process
- Upload content that is illegal, harmful, threatening, abusive, or defamatory
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the service to violate any applicable laws or regulations
- Reverse engineer, decompile, or attempt to extract the source code of our service
- Use automated systems to access the service without our permission
- Resell or redistribute the service without authorization
VoiceCap does not monitor, review, or verify whether content uploaded to the Service was recorded with appropriate consent or otherwise complies with applicable laws. You acknowledge that VoiceCap provides a technical platform only and does not determine the purposes or means of processing your content.
5. Fair Use Policy
5.1. VoiceCap subscription plans, including those described as "unlimited," are intended for ordinary business use by your organisation. All plans are subject to this Fair Use Policy.
5.2. Normal use means uploading and processing audio recordings generated by your team in the regular course of business, such as meetings, interviews, and presentations. Usage should be reasonably proportional to the number of licensed users on your account.
5.3. The following activities are considered misuse of the Service and constitute a violation of this Fair Use Policy:
- Using VoiceCap as a transcription service for third parties or for resale purposes
- Automated or bulk uploads disproportionate to your team size
- Systematically processing audio content not generated by or for your organisation
- Any use intended to exploit the pricing structure of your plan rather than to derive genuine business value from the Service
5.4. If VoiceCap determines, at its reasonable discretion, that your usage exceeds fair use, we will notify you in writing and provide a reasonable opportunity (no less than 14 days) to reduce your usage or discuss an appropriate plan adjustment.
5.5. If the matter is not resolved following notification, VoiceCap reserves the right to:
- Apply reasonable processing limits to your account
- Require you to upgrade to a plan that reflects your actual usage
- Terminate your subscription in accordance with Section 13, with a pro-rata refund for any unused prepaid period
5.6. VoiceCap may establish and publish specific usage guidelines from time to time. Such guidelines are informational and do not limit VoiceCap's rights under this section.
6. Recording Consent and Lawful Use
You acknowledge and agree that you are solely responsible for ensuring that any audio recordings, transcripts, or other content uploaded to the Service are collected and processed lawfully. This includes, without limitation:
- Determining the lawful basis for processing personal data under applicable data protection laws
- Obtaining all necessary notices, permissions, and consents prior to recording any meeting or conversation
- Complying with all applicable recording, employment, confidentiality, and data protection laws
VoiceCap does not monitor, verify, or validate whether such consent or lawful basis has been obtained and has no independent obligation to do so. VoiceCap shall not be responsible or liable for any unlawful recordings or processing carried out by you or on your behalf.
7. Intellectual Property
Your Content: You retain all ownership rights to your audio recordings and the content within them. By uploading content, you grant us a limited, non-exclusive license to process such content solely for the purpose of providing the Service, and in accordance with your instructions, these Terms, Data Processing Agreement and any applicable laws.
Our Service: VoiceCap, including its software, design, and documentation, is protected by intellectual property laws. You may not copy, modify, or create derivative works of our service without permission.
AI-Generated Content: Transcripts and summaries generated by our AI are provided for your use. We do not claim ownership of AI-generated outputs derived from your content.
8. Payment and Billing
VoiceCap operates on annual subscription agreements. All plans are subject to the Fair Use Policy set out in Section 5. Payment terms are as follows:
- Pricing is based on your agreed usage volume and features
- Payment is due according to your subscription agreement
- All fees are non-refundable except as required by law
- We reserve the right to modify pricing with 30 days notice
Failure to pay may result in suspension or termination of your access to the service.
9. Service Availability and Modifications
We strive to maintain high service availability but do not guarantee uninterrupted access. We may:
- Perform scheduled maintenance with reasonable advance notice
- Modify or discontinue features with notice to users
- Temporarily suspend service for security or technical reasons
We will make reasonable efforts to minimize disruption and notify you of significant changes.
10. Privacy and Data Protection
We operate as a data processor under the General Data Protection Regulation (GDPR) and other applicable data protection laws. You, as the User, act as the data controller with respect to any personal data submitted to or processed through the Service.
As the data controller, you are solely responsible for ensuring that any personal data submitted to the Service is accurate, lawful, and provided with all necessary rights, permissions, and legal bases. This includes ensuring that such processing complies with your intended purposes and with all applicable data protection laws and regulations. You are also responsible for providing all required notices to, and obtaining any necessary consents from data subjects as required by law.
The parties agree to comply with the terms of the Data Processing Agreement ("DPA"), which is hereby incorporated by reference into these Terms. The DPA governs the rights and obligations of both parties with respect to the processing of personal data in connection with the Service.
Please carefully review our Privacy Policy for detailed information regarding the collection, use, storage, and disclosure of your personal information. The Privacy Policy is hereby incorporated by reference into these Terms and forms an integral part of this agreement.
11. Limitation of Liability
To the maximum extent permitted by law:
- VoiceCap is provided "as is" and "as available", without warranties of any kind
- VoiceCap does not guarantee the accuracy, completeness, or suitability of transcriptions, summaries or other AI-generated outputs
- VoiceCap does not verify the legality of recordings or the validity of any consent or lawful basis obtained by users
- You acknowledge and agree that you are solely responsible for the content of audio recordings uploaded to the Service, including any voices, personal data, or other information contained therein, and for ensuring that such recordings are made and processed lawfully
- VoiceCap shall not be liable for any claims, damages, fines, or losses arising out of or related to recordings made without appropriate consent or other lawful basis, or your failure to comply with applicable laws
- VoiceCap shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities
To the extent permitted by law, VoiceCap's total aggregate liability arising out of or in connection with the Service shall not exceed the total fees paid by you to VoiceCap in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded or limited by applicable law.
12. Indemnification
You agree to indemnify and hold VoiceCap harmless from any claims, damages, or expenses arising from:
- Your use of the service in violation of these Terms
- Content you upload that infringes third-party rights
- Recordings made without proper consent
- Your violation of any applicable laws
- Any failure to obtain a valid lawful basis or required consent for the processing of personal data
13. Termination
Either party may terminate the subscription agreement as specified in your contract. Upon termination:
- Your access to the service will be suspended
- You may request export of your data within 30 days
- We will delete your data according to our retention policy or upon request
We may immediately terminate or suspend your access for material breach of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the courts of the Republic of Lithuania. For EU consumers, this does not affect your rights under mandatory consumer protection laws in your country of residence.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the service at least 30 days before they take effect.
Your continued use of VoiceCap after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service.
